These Terms and Conditions ("Terms") govern your access to and use of the EHealthVoice AI healthcare voice agent platform, the associated websites at ehealthmed.ai and ehmed.ai, and all related services (collectively, the "Service") operated by EHealthMed Ltd, EHeartmed LLC DBA EHealthMed AI ("EHealthMed", "we", "us", or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a healthcare organization, you represent that you have the authority to bind that organization to these Terms.
1. Definitions

| "PHI" | Protected Health Information as defined under the HIPAA Privacy Rule (45 CFR §160.103) |
| "Subscription" | Your selected service tier and the associated usage entitlements |
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Be a licensed healthcare professional, or an authorized representative of a healthcare organization
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable law
The Service is designed for healthcare professionals and is not intended for direct use by patients or the general public.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide accurate and complete registration information
- Keep your password secure and not share it with others
- Notify us immediately at [email protected] if you suspect unauthorized access to your account
- Not create multiple accounts for the same individual or organization without authorization
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4. Service Description
EHealthVoice AI provides AI-powered voice agents for healthcare practices. The Service includes:
- Configurable AI voice agents for patient scheduling, intake, triage, and other clinical communication workflows
- Integration with Electronic Health Record systems via SMART on FHIR and other secure protocols
- Integration with scheduling platforms (GoHighLevel, etc.)
- Call logging, analytics, and compliance reporting
- Knowledge base management for AI agent training
- SMS messaging capabilities
Important: EHealthVoice AI is a communication and workflow automation tool. It is not a medical device and does not provide medical diagnoses, treatment recommendations, or clinical decision-making. All clinical decisions remain the sole responsibility of licensed healthcare professionals.
5. Subscriptions and Billing
5.1 Subscription Plans
The Service is offered through subscription plans with varying features and usage limits. Current plan details, pricing, and included usage minutes are available on the Billing page within the platform. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.
5.2 Payment
All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan. You are responsible for keeping your payment information current.
5.3 Refunds
Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a service outage or billing error, contact us at [email protected] within 14 days of the charge. We will review each request on a case-by-case basis.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or professional code of conduct
- Transmit or store PHI in violation of HIPAA or applicable healthcare privacy laws
- Impersonate a healthcare professional or misrepresent your qualifications
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Attempt to gain unauthorized access to any part of the Service or other users' accounts
- Use the Service for any purpose other than legitimate healthcare operations
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use automated scripts to access the Service in a manner that exceeds reasonable usage
- Resell, sublicense, or redistribute the Service without our written consent
7. HIPAA Compliance and Business Associate Agreement
EHealthVoice AI is designed with HIPAA compliance in mind. Where EHealthMed processes PHI on behalf of a Covered Entity, we will enter into a Business Associate Agreement (BAA) as required by HIPAA.
You acknowledge and agree that:
- You are responsible for ensuring that your use of the Service complies with HIPAA and all applicable healthcare privacy laws
- You will not transmit PHI through the Service unless a BAA is in place between your organization and EHealthMed
- You will configure AI agents and integrations in accordance with your organization's privacy and security policies
- You will train your staff on the appropriate use of the Service in the context of patient privacy

8. EHR and Third-Party Integrations
The Service provides integrations with third-party Electronic Health Record systems and scheduling platforms. You acknowledge that:
- Third-party integrations are subject to the terms, availability, and functionality of the third-party provider
- We are not responsible for the accuracy, availability, or security of data within third-party systems
- You are responsible for obtaining the necessary authorizations and credentials to connect third-party systems
- Integration availability may change if third-party providers modify their APIs or access policies
- EHR data accessed through integrations remains subject to the privacy and security requirements of the originating system
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including its software, design, documentation, AI models, and branding, is owned by EHealthMed Ltd and is protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
9.2 Your Content
You retain ownership of any Content you upload or create through the Service (knowledge base documents, agent configurations, etc.). By using the Service, you grant us a limited license to process your Content solely to provide the Service. We do not use your Content to train AI models or for any purpose other than delivering the Service to you.
10. Disclaimers and Limitation of Liability
10.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No Medical Advice
The Service does not provide medical advice, diagnosis, or treatment. AI-generated responses are based on configured knowledge bases and should always be reviewed by qualified healthcare professionals. EHealthMed is not liable for any clinical decisions made based on information provided by AI agents.
10.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EHEALTHMED'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. EHEALTHMED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
11. Indemnification
You agree to indemnify and hold harmless EHealthMed, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including patient privacy rights.
12. Termination
Either party may terminate these Terms at any time:
- You may cancel your subscription and delete your account at any time through the Settings page or by contacting us
- We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or if we are required to do so by law
Upon termination, your right to use the Service ceases immediately. We will retain your account data for 30 days after termination to allow for data export, after which it will be permanently deleted. Sections 9, 10, 11, and 14 survive termination.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last Updated" date at the top of this page
- We will notify registered users by email at least 30 days before the change takes effect
- Continued use of the Service after the effective date constitutes acceptance of the updated Terms
If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration taking place in Gwinnett County, Georgia.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
15. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any applicable BAA, constitute the entire agreement between you and EHealthMed regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment. You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
